These Stable Terms apply to every stable that uses HopOn, in addition to the Terms of Service. They cover fees, payments, taxes and the responsibilities that come with running a stable on HopOn. "You" means the stable and the person accepting for it. If these Stable Terms and the Terms of Service conflict, these Stable Terms prevail.
You accept them by ticking a box, next to a link to them, when you set up your stable. You cannot set up a stable without doing so, even to use features that are free today. If your stable already uses HopOn, the app asks you to accept these Stable Terms the next time you open it.
The short version.
- Our fee is 1% of what you invoice through HopOn, before tax. You choose whether you absorb it or pass it on to your clients, in which case it is included in the prices they see.
- We charge it once a week, on your card first, and on your bank account if the card fails.
- If fees stay unpaid for 8 weeks, we may limit your account to viewing and exporting your data until you pay.
- You decide what is taxable, and you collect and pay your own sales tax. Sales tax is off until you turn it on.
- We can change our prices with 30 days' notice in the app.
1. Your role
You run your stable. HopOn gives you the software. You are the merchant of record for every sale to your clients: you set your prices, issue your invoices, decide on refunds, and handle disagreements with your clients. Contracts, boarding plans and invoices that the app generates are built from what you enter, and you review them before you send or sign them. HopOn is not a party to your sales and does not sell your services. HopOn provides the software and the payment tools.
You are responsible for the people you invite and the roles you give them, for having your clients' permission to record their details (and a parent's or guardian's permission for a rider under 18), and for your own insurance, liability waivers and compliance with the equine activity statutes of your state. For the client and staff records you keep in HopOn, you decide what to enter and why, and we process that data on your behalf as described in the Privacy Policy.
2. Payments and Stripe
To accept payments in the app, you open a Stripe account through HopOn and accept Stripe's own terms, including the Stripe Connected Account Agreement. Stripe checks your identity and business details. Stripe, not HopOn, decides whether to approve, limit or close your Stripe account.
Stripe charges its own processing fees on your clients' payments. They are separate from our fee and are deducted by Stripe. Refunds, chargebacks and disputes with your clients are yours to handle, under Stripe's rules.
If Stripe limits your account, payments in the app stop until it is fixed, and the rest of HopOn keeps working.
3. Our fee
Our fee is 1% of the subtotal of each invoice you issue through HopOn, meaning the total of your service lines, before sales tax and before any service fee line. It applies when the invoice is paid through the app or marked as paid in the app, whatever the payment method (card, bank transfer, check, Zelle or cash). The app shows that the fee applies before you confirm a payment.
You choose in the app who bears the fee:
- You absorb it. Your clients pay the invoice amount, and the fee is your cost. This is the default.
- Your client pays it. The fee becomes your charge to your client. Every price your client sees in HopOn (boarding plan, contract, invoice) includes it, and the breakdown shows it as a service fee. It is the same whatever the payment method: you may not vary it by payment method or present it as a card fee. You are responsible for telling your clients about it and for any tax that applies to it.
We may offer free periods or discounts. They end on the date we gave you. Our fees do not include sales tax. Where the law of your state requires it, we add sales tax to our fees.
4. How we collect the fee
Each week, we send you a statement in the app listing the invoices paid or marked as paid during the previous week, and the fee on each. We charge the total to your payment method on file: your card first, and your bank account if the card charge fails.
If you pass the fee on to your clients, it is collected from them instead. When a client pays an invoice in the app, the fee is part of that payment. When an invoice is paid outside the app and marked as paid, the fee is charged on your behalf to the client's saved payment method. If the client has no saved payment method, or that charge fails, the fee goes on your weekly statement, and you can recover it from your client.
By accepting these Stable Terms and adding a payment method, you authorise HopOn, through Stripe, to charge that card or debit that bank account each week for the amount on your statement, until you remove the payment method or close your stable. Removing a payment method does not cancel fees already due.
If a client payment on which we charged a fee is refunded, we credit the fee on the refunded amount on your next statement. If there is no next statement, we refund it.
If you think a statement is wrong, tell us within 60 days at hello@hopon.horse. We will check it and correct it if needed.
5. Unpaid fees
If a weekly charge fails, we try again and show a notice in the app. Unpaid amounts carry over to the next statement. If fees remain unpaid for 8 weeks, we may limit your stable's access to viewing and exporting your data until the balance is paid. Your data stays safe during that time, and full access comes back as soon as you pay.
6. Sales tax on your invoices
You decide what is taxable. HopOn gives you the tools, not tax advice.
- Sales tax is off by default. No tax appears on your invoices until you turn it on in the app.
- When you turn it on, the app suggests a setting for each type of service, based on general rules in your state. These suggestions are a starting point. They are not tax advice, and they may not fit your situation. You review them, ideally with your accountant, and you can change them at any time. If we have no suggestions for your state, each service starts as "Not set" and you choose.
- You are solely responsible for deciding which of your services are taxable, for registering with your state, and for collecting, reporting and paying the sales tax on your sales. Stripe calculates the tax from your settings and the location you give for each service. Keep your stable's address, and any show locations, up to date.
- If a client or a horse is exempt from tax, you are responsible for collecting a valid exemption certificate and for applying it only to the services, state and dates it covers.
- The app keeps a record of your tax settings and of who changed them, and when.
- You agree to indemnify HopOn against any tax, interest, penalty or claim arising from the tax settings you chose or from your sales.
7. Changes to our prices
We may change our fee, start charging for a feature that is free today, stop charging for one that is paid, or offer a subscription instead of the fee or alongside it. We will tell you in the app at least 30 days before a change that increases what you pay. If you do not agree, you can stop using the feature or close your stable before the change takes effect. If you keep using HopOn after that date, the new prices apply.
8. Abusive use
We may suspend a stable that uses HopOn in a clearly abusive way, for example by creating false invoices, payments or discounts, by using HopOn to run its billing while deliberately keeping invoices out of the app to avoid the fee, or by using client data for a purpose the clients did not agree to. We will tell you why first and give you a chance to fix the problem, unless the abuse is serious or repeated.
9. Closing your stable
You can close your stable at any time from the app. Fees for invoices paid or marked as paid before closing remain due and are charged on a final statement. Export your data before you close; we keep and delete it as described in the Privacy Policy.
We may close a stable for non-payment that continues after the 8-week limit, or for a serious breach of these Stable Terms or the Terms of Service. We will tell you first.
10. Liability
THE LIMITS ON OUR LIABILITY IN THE TERMS OF SERVICE APPLY TO STABLES. IN ADDITION, OUR TOTAL LIABILITY TO A STABLE ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS OR THE FEES THE STABLE PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.
You agree to indemnify HopOn against claims from your clients, your staff or any authority arising from your services, your invoices, your contracts with your clients, your taxes, or what happens with the horses in your care.
11. Disputes
Disputes between you and HopOn are resolved as set out in sections 13 and 14 of the Terms of Service: individual arbitration under the AAA Commercial Arbitration Rules, in Palm Beach County, Florida, under Florida law.
